Terms & Conditions

1. About Traidex

Traidex ("the Platform", "we", "us", "our") is operated by Traidex (Pty) Ltd, a private company incorporated in the Republic of South Africa. The Platform is a B2B online marketplace where verified businesses ("Sellers") list surplus renewable-energy hardware and related trade stock for sale to other businesses ("Buyers"). The terms User, Seller, and Buyer are used interchangeably and refer to any party accessing or transacting on the Platform.

Traidex provides the marketplace and escrow service only — Traidex is not the owner, supplier, exporter, or seller of any goods listed. Each sale is concluded directly between the Seller and the Buyer.

2. Eligibility & accounts

  • You must be at least 18 and authorised to bind the business you represent.
  • Traidex is a B2B platform. Listings, offers and purchases must be made in the course of business.
  • Sellers must complete verification (CIPC registration, trade type and any supporting documents we request) before listings go live.
  • One business = one account. Creating multiple accounts to mask identity, evade suspension, manipulate ratings or split commissions is prohibited.
  • You're responsible for keeping your login credentials secure and for all activity under your account, including activity by your team members. Notify us immediately at support@traidex.co.za if you suspect unauthorised access.
  • We may refuse, suspend or close any account at our reasonable discretion where we consider it fraudulent, abusive, in breach of these terms, or otherwise inconsistent with applicable law.

3. How the marketplace works

  • Sellers create listings with title, brand, model, condition, quantity, photos and price.
  • Buyers browse, message, make offers and purchase. Offers are binding on the Buyer until withdrawn or expired, and on the Seller once accepted.
  • All transactions are settled in South African Rand (ZAR).
  • By using the Platform, the Seller appoints Traidex as its limited payment agent for the sole purpose of receiving payment from the Buyer on the Seller's behalf, holding it in escrow, and remitting the net proceeds to the Seller in accordance with these terms.

4. Listings & seller warranties

By publishing a listing, the Seller warrants that:

  • They own the goods or have authority to sell them, and the goods are free of liens, finance, or third-party claims.
  • All listing information — title, brand, model, condition, quantity, price, photos, specifications, certification claims — is accurate, current and not misleading.
  • The goods comply with applicable South African law, including any required certification (e.g. SABS, IEC, NRCS, ICASA) where relevant.
  • Prices are quoted excluding VAT by default for VAT-registered Sellers (the SA B2B norm). Non-VAT-registered Sellers' prices display as "VAT not applicable".

Traidex may edit, unpublish, or remove listings that are inaccurate, illegal, prohibited, or in breach of these terms — at our reasonable discretion and with notice where practical.

5. Payment, escrow & settlement

  • Buyers pay the order total via our payment processor (Paystack) into Traidex's designated account. Funds are held in escrow.
  • The Seller must dispatch or make the goods available within 5 business days of payment unless otherwise agreed in writing on the Platform, and must mark the order as shipped (with proof of dispatch / waybill where applicable).
  • The Buyer has 48 hours from delivery or collection to inspect the goods and either confirm receipt or raise a dispute (see Returns & Disputes).
  • On Buyer confirmation — or on lapse of the 48-hour inspection window without a dispute — funds are released to the Seller's nominated South African bank account, less the platform & payment processing fee and VAT on that fee. Standard payout SLA is 1–3 business days from release.
  • Title to the goods passes from Seller to Buyer on the earlier of (a) confirmation of receipt or (b) lapse of the 48-hour inspection window without a dispute.
  • Risk passes on physical delivery or collection.
  • The Seller is solely responsible for the accuracy of banking details. Traidex is not liable for delays or losses caused by incorrect or outdated banking information.
  • International payouts are not supported other than at our sole discretion and on terms agreed separately in writing.

6. Fees

  • Traidex charges a combined platform & payment processing fee of 7% on the goods total (excl. VAT), plus 15% VAT on that fee. The fee is deducted from Seller payouts only when a sale settles. The fee covers Traidex marketplace services and card-processing & escrow costs paid to our payment partner (Paystack); roughly half of the 7% is passed through to Paystack.
  • Listing, photos, messaging, offers and verification are free.
  • No separate card-processing fee is added on top — it is included in the 7%.
  • For each settled sale, Traidex issues the Seller a tax invoice for the platform & processing fee. The Seller invoices the Buyer for the goods directly and accounts for VAT on the goods according to their normal SARS practice. Traidex does not handle goods VAT on the Seller's behalf.

7. Chargebacks & payment failures

  • If a Buyer's payment is reversed, charged back, or otherwise fails after settlement, Traidex may suspend the affected order, recover the disputed amount (including any related fees) from the Seller's pending balance, and pause future payouts until the matter is resolved.
  • The Seller agrees to cooperate fully with any chargeback investigation, providing waybills, photos, communications and other evidence as reasonably requested.
  • Repeated or fraudulent chargeback activity may result in account suspension and referral to the relevant authorities.

8. Delivery & collection

  • Logistics are arranged between Buyer and Seller. The default mode is buyer-arranged collection or buyer-arranged freight.
  • The Seller must provide proof of dispatch or collection (signed waybill, photo, or similar) on request.
  • Where an integrated courier or third-party logistics provider is used, the terms of that provider also apply.

9. Offers, messaging & circumvention

  • The in-platform messaging system exists to discuss the transaction. Communications may be reviewed by Traidex for trust & safety, dispute resolution, fraud prevention and platform integrity. Users have no expectation of privacy on the Platform vis-à-vis Traidex.
  • Do not share private or sensitive information unrelated to the transaction.
  • Once a buyer and seller are introduced through the Platform, completing or routing the transaction off-platform to avoid the platform & processing fee ("circumvention") is prohibited and may result in suspension and recovery of fees.

10. Prohibited goods & conduct

The following are prohibited as listings on Traidex. The list is illustrative and may be updated:

  • Anything whose sale is restricted or prohibited under South African law without the relevant licence (including non-compliant or unhomologated electrical equipment).
  • Counterfeit, replica, parallel-import or grey-import goods misrepresented as genuine.
  • Stolen, recalled, or expired goods.
  • Goods missing required certification (e.g. NRCS / ICASA / SABS) where law requires it.
  • Firearms, explosives, controlled chemicals, weapons and military hardware.
  • Drugs, medicines, medical devices, food and beverage, tobacco/nicotine products.
  • Personal data, accounts, or anything that would breach POPIA.
  • Locked or activation-bound devices that the Buyer cannot use.
  • Anything that promotes violence, hate speech, criminal or extremist activity.

You also agree not to:

  • Misrepresent condition, age, quantity, certification or specifications.
  • Manipulate ratings, reviews, sale history or search ranking.
  • Harass other Users, send spam, scrape the Platform, or attempt to compromise its security.
  • Use the Platform in breach of South African law, including ECTA, POPIA, the Consumer Protection Act (where it applies), competition law, sanctions law, or SARS obligations.

Sellers acknowledge that the sale of counterfeit or non-compliant goods may expose them to civil and/or criminal proceedings. Traidex holds no responsibility for any such claims and may, where reasonable, share a non-compliant Seller's account information with the affected rights holder or competent authority.

11. Illegal & terrorist content

Users may not post or transmit content that incites or facilitates terrorism, glorifies violent extremism, or is otherwise illegal under South African law. We may remove such content immediately upon detection or report. Where the law requires, removed content and associated metadata may be retained and disclosed to a competent authority. A User may contest a removal by writing to support@traidex.co.za within 14 days; we'll respond within a reasonable period.

12. Monitoring & enforcement

We may monitor activity on the Platform — including listings, messages and transactions — for compliance, fraud prevention, and dispute resolution. We may, at our reasonable discretion:

  • Edit or remove listings or messages that breach these terms;
  • Pause an order, hold or reverse a payout, or refund a Buyer where there is evidence of breach or fraud;
  • Suspend or close an account, including where we receive multiple substantiated complaints from other Users about it.

13. Returns & disputes

Returns and disputes are governed by our Returns & Disputes Policy, which forms part of these terms. In summary: the Buyer has 48 hours from delivery to flag a not-as-described issue; otherwise the sale is final. Where a return is approved on "not-as-described" grounds, the Seller bears the return-shipping cost.

14. Intellectual property

The Platform — including its software, design, layout, text, graphics, logos and trademarks — is owned by Traidex or licensed to us, and is protected by South African and international law. You may not copy, modify, republish or reverse-engineer any part of it without our written consent.

You retain ownership of the content you upload (listings, photos, descriptions, messages). By uploading content you grant Traidex a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, adapt and distribute that content for the purposes of operating, marketing and improving the Platform. You warrant that you have the rights necessary to grant this licence.

Any feedback or suggestions you submit are deemed non-confidential and may be used by Traidex without restriction or compensation.

15. Disclaimers & liability

  • The Platform is provided "as is" and "as available". We don't warrant that it will be uninterrupted, error-free, or virus-free.
  • Traidex is not the supplier of the goods. We don't warrant the goods themselves — quality, fitness for purpose, certification, title and freedom from defect are the Seller's responsibility.
  • Content posted by Users represents the Users' own views, not Traidex's. We don't endorse or verify every claim made in a listing.
  • To the extent permitted by law, Traidex's total liability arising out of or in connection with any single transaction is limited to the platform & processing fee we received on that transaction. Where no fee has been received, our liability is limited to ZAR 1,000.
  • Neither party is liable for indirect, incidental, consequential, punitive or special damages, loss of profits, or loss of data.
  • Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded under South African law.

16. Indemnity

You agree to indemnify, defend and hold harmless Traidex, its directors, employees and partners against any claim, demand, loss, damage or cost (including reasonable legal fees on an attorney-and-own-client scale) arising from: (a) your breach of these terms; (b) goods you list, sell or buy through the Platform; (c) your misuse of the Platform; or (d) your breach of any third-party right or applicable law. This clause survives termination.

17. Suspension & termination

  • We may suspend or close an account that breaches these terms, fails verification re-checks, has multiple substantiated complaints, or poses a risk to other users — with or without notice depending on severity.
  • You may close your account at any time once you have no pending orders, disputes, or amounts owing. Outstanding obligations (settlements, disputes, invoices, indemnity) survive termination.
  • On termination we will retain or delete your data in line with our privacy practices and applicable law.

18. Privacy & data

We process personal information in line with POPIA. We collect what's needed to run the marketplace (account, verification, transactions, messaging, payments) and share it only with the parties to a transaction, our payment processor (Paystack), and service providers under appropriate safeguards. Where required by law, we also disclose information to regulators, tax authorities and courts.

19. Recommender systems

The order in which listings appear is determined by algorithms that consider, among other things:

  • Relevance to a Buyer's search terms (title, description, brand, category, tags, specifications);
  • Recency of the listing and Seller activity;
  • Seller verification status and trust signals (rating, dispute rate, fulfilment history);
  • Browse history and preferences of the viewing User where applicable;
  • Editorially curated selections highlighted by Traidex from time to time.

20. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.

21. Force majeure

Neither party is liable for delay or failure caused by events outside its reasonable control, including war, civil unrest, load-shedding, network outages, government action, pandemics, fire or natural disaster. The affected obligations are suspended for the duration of the event and the parties will use commercially reasonable efforts to mitigate the impact.

22. Notices & electronic communications

All notices to Traidex must be sent to support@traidex.co.za. Notices to a User will be delivered to the email address on file or by in-app notification, and are deemed received on the day of transmission. The parties consent to communicating electronically for all purposes under these terms.

23. Dispute resolution

  • The parties will first attempt to resolve any dispute amicably by negotiation.
  • If that fails, the parties may agree to refer the matter to mediation by an independent industry expert.
  • Failing resolution, the parties consent to the non-exclusive jurisdiction of the High Court of South Africa, Gauteng Division.
  • Neither party will publicise a dispute on social or public media before formal proceedings have concluded.

24. General

  • These terms are governed by the laws of the Republic of South Africa.
  • Nothing in these terms creates a partnership, joint venture, employment or agency relationship between Traidex and any User, save for the limited payment-agent appointment in clause 3.
  • If any provision is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be read down to the minimum extent needed to make it valid.
  • No indulgence or delay by Traidex in enforcing any right is a waiver of that right.
  • Headings are for convenience only. Words in the singular include the plural and vice versa.
  • These terms, together with the Returns & Disputes Policy and our pricing schedule, constitute the entire agreement between the parties on the subject matter.
